Terms and Conditions

  • The Second Party and Geidea, which is a company authorized by Saudi Arabia Monetary Authority “SAMA” in the electronic transfer system for funds; which enables the holder of Saudi Payment Network Card to activate the payment through himself to a company, establishment, or another subscriber in that System (shall be referred as merchandise value or service provided to him by the Merchant in this Agreement and that by transferring the required amount from the bank account of the holder of Saudi Payment Network Card to the bank account of the Merchant at one of the banks.
  • The Merchant desires to use the electronic transfer system provided by the First Party in regard of what the Merchant provides of merchandise and/or services and collect the amounts due for him (in accordance with the Agreement executed with the First Party and return the funds or any amounts for the holder of bank card and any other type of transfers that include electronic transfer for the funds through points of sales, which can be determined from time to another.)

Therefore, upon the exchanged documents stated in this Agreement, both Parties have agreed upon the following:

Definitions:
The following terms and words shall carry the meanings stated in this clause.

  • PSF: it is a foundation authorized from the Monetary Authority, which enters in a mutual Agreement with the Merchant by which he accepts his provision with points of sales service and transferring the amounts of the operation conducted thereon, which is related to Saudi Network.
  • Concerned Bank: it is a banking establishment and a member in Saudi Payment Network, which enters a mutual Agreement with the Merchant through which he accepts the transfer of points of sales operations amounts related to Saudi Network.
  • The Bank that issues the Card: it is the bank, in which the card holder retains an account and payment card related to Saudi Payment Network, which is dedicated to the transactions of sale point service affiliated to Saudi Payment Network.
  • EMV: it is a code for European Payment System “EyaPoru,” Master Card, and Visa, through which the banks that issue such cards, Merchants, and consumers can deal with cards with chips and points of sales devices in a safer and effective way with additional protection specifications and features.
  • Mandatory Balance:it is an operation conducted in exceptional conditions, in case the merchant failed or did not implement the balance transactions through points of sales before the specified and allowed time. Therefore, the First Party shall conduct emergency balance and the First Party will be entitled to impose fees on delay.
  • Systems of global payment cards:it includes the systems of global financial payments such as; Visa, Master Card, American Express, Maestro, and else.
  • The Merchant: it is represented in a company, establishment, government authority, or a person, who keeps a bank account in his capacity as a Merchant, as he has an existing relation with a concerned bank certified by Saudi Arabia Monetary Authority (SAMA) and participant in points of sales service affiliated to Saudi Payment Network, which allow the holder of a valid bank card with its password or any other certified purchase or payment card, whether it is local or global, to pay the merchandise and/or services value and he accepts all contractual and legal requirements to deal with points of sales devices as a payment mean inside his entity (company, establishment, government authority, or a person).
  • Merchant Account:an account or a record maintained by the First Party to use it in the purposes of settling the transactions of points of sales services affiliated to Saudi Payment Network. In accordance with it, all rules and provisions of Saudi Arabian Monetary Authority are being applied, in case of opening the account and maintaining it. Therefore, the account shall be settled in regular intervals.
  • Name of the Merchant:the name, which appears on top of points of sales service receipt, which is affiliated to Saudi Payment Network in case it was printed, also the name of merchant account owner dedicated to points of sales service affiliated to Saudi Payment Network, which are being implemented at agreed upon sale outlets of the Merchant.
  • Sale outlets (worksites / branch) of the Merchant:any of the retail out lets for the Merchant or his worksites, through which the Merchant operates his business and in which points of sales device(s) affiliated to Saudi Payment Network, can be installed.
  • Indirect Transfers:the payment transaction through a device or a card in which the order is submitted manually through an electronic chip and send it indirectly among a specific high ceiling and without direct electronic connection with the bank system to pass the order through Saudi Payment Network to the bank that issues the certified card or issued the approval thereon.
  • Cash withdrawal:an activated service through the system of Saudi Payment Network via sale point devices, which allows the bank card holders to conduct withdrawal transactions with normal purchase transaction. The maximum limit for cash withdrawal shall apply on the cash withdrawal service and it always requires the direct electronic authentication for this withdrawal transaction.
  • Mada Atheer:it is a service that grants the holder of “Mada” card speed, safety, and comfortability in the electronic payment through the technology of close range connection without the need to enter the card in points of sales device and that to conduct the transaction, which its procurements value does not exceed 100 riyals. The card holder may be requested to enter the password sometimes and that for more safety and restatement of the previous values, so the card holder would be able to use the card once again.
  • The feature of refund:it is a feature being activated on Mada points of sales devices, which enables the Merchant to implement the transaction of full refund or part thereof for the returned commodity by the card holder.
  • Operation Manuals:the manuals issued by the First Party and related to the Merchant. It includes the systems related to the use of points of sales devices affiliate to Saudi Payment Network. Whereas the First Party conducts amendments thereon from time to time.
  • Standards of data protection in the manufacture of payment cards PCI DSS:it is a global standards established by the world council for payment cards manufacture and being developed to ensure the application of financial data safety standards in relation with the Merchants and application of standards related to the protection and security of cards holders’ data (such as card number and else.) …
  • The device of entering the personal password “PCI” for Payment Cards “PED”:It is standards established by the Global Council for payment cards manufacture to protect the international transactions. It depends on passwords/ personal identification numbers PIN and it is being implemented by devices that accepting the entering of passwords / personal identification numbers PIN (for this kind of transactions that depends on passwords).
  • Saudi Payment Network:it is Saudi Payment Network, which was developed by Saudi Arabia Monetary Authority (SAMA).
  • Marks of Saudi Payment Network:name or logo of Saudi Payment Network including any symbol registered for it.
  • Bank Card:a card compatible with EMV plastic cards, which is issued by one of the banks (banks that issue the cards) from time to time in order to use it in the transactions of points of sales services related to Saudi Payment Network and it refers to this magnetized chip, which circulate the banking information through the payment electronic device, which can be used directly or indirectly in accordance with the risk standards that may occur due to the use of the card or the device.
  • Points of sales Service affiliated to Saudi Payment Network:the electronic system for fund transfer at points of sales.
  • Cost of the Merchant service in points of sales affiliated to Saudi Payment Network:the fess, which the Merchant shall pay in exchange for transaction of points of sales services affiliated to Saudi Payment network, which shall be referred hereinafter as (Merchant Service Cost) “MSC.”
  • The receipt of points of sales service affiliated to Saudi Payment Network:to prove the transaction, the card holder shall be granted by the Merchant, when conducting purchase or refund transaction or any other transaction by the specifications determined by the First Party in regard of completed transaction and/or will be conducted through points of sales service affiliated to Saudi Payment Network.
  • Points of sales devices affiliated to Saudi Payment Network:they are devices and programs, which are being installed inside the Merchant branch to use it in accepting the bank card and accept the transaction of points of sales service affiliated to Saudi Payment Network or any other payment cards systems lead to the same purpose.
  • Location of Saudi Payment Network sale point:it is the sales location(s) and programs which has been and/or will be installed or loaded in the Merchant store in order to use it in accepting Saudi Payment Network Cards, credit cards, or any other payment cards after obtaining the license and approval on its issuance and operation.

This brief titles for the terms have been developed for reference only, as these tiles shall be ignored during the interpretation of this Agreement. As the references of this Agreement shall be represented in its terms and conditions. Where the terms that refers to singular shall means plural as well and vice-versa; except for the cases, in which the context requires otherwise. The reference to persons shall be interpreted as reference to individual, establishment, company, legal entity, group of people, association, or consortium and that in accordance with the required by the context.
The Use of the Saudi Payment Network Bands:

  • The First Party under this Agreement, shall grant the Merchant an exclusive an inalienable license to use the brand of Saudi Payment Network or any other commercial brands chosen by the Monetary Authority from time to time in the transaction in relation with points of sales service affiliated to Saudi Payment Network, which the Merchant implements in accordance with the Merchant’s bank in this regard. By the virtue of that, the Merchant shall pledge not to protest or claim the right of owning the Saudi Payment Network Brand or dispute and object in the property and competence of Saudi Payment Network Brand.
  • It is agreed that the brand of Saudi Payment Network or any other commercial brand that may be chosen by the Monetary Authority from time to time is an exclusive property of Saudi Payment Network, as the Merchant shall refrain from any use for the brand in any unauthorized matter.

Installation and Maintenance of Points of sales Devices Affiliated to Saudi Payment Network:

  • PSF shall install points of sales devices affiliated to Saudi Payment Network in the Merchant branch in accordance with the terms and conditions of this Agreement or any terms and condition added thereto or completing it and that in accordance with the entered amendments from time to time according to any regulations included in the operation manuals from time to time. The Merchant shall bear all expenses and costs of the installation and maintenance of points of sales devices affiliated to Saudi Payment Network and provide the devices supplies.
  • Under this Agreement, the Merchant authorizes PSF to contract and secure points of sales devices affiliated to Saudi Payment Networks and ensure its installation in the Merchant branch or in the agreed upon location between the Merchant and PSF.
  • The Merchant shall on his expenses bear and before the agreed upon date the installation of points of sales devices, the expenses of providing and preparing the electric current, connection lines points, and the necessary area for points of sales device affiliated to Saudi Payment Network, where any other requirements for the infrastructure shall be fulfilled such as; (communication means) through a mutual Agreement by and between PSF and any of its authorized dealer.
  • The PSF shall bear the provision of imaging logo, text logo, marketing, commercial and educational materials in accordance with the rules of points of sales affiliated to Saudi Payment Network, providing the payment of the determined fees for points of sales service.
  • The Merchant shall make sure that the devices, which have been installed or maintained are related to Geidea Co., and in case of installing devices by other company, Geidea will have no relation to this procedure at all and the liability will fall over the Merchant’s shoulders due to poor supervision at the Merchant outlet.
  • In case the Merchant requested to change the location of points of sales device(s) from its original location previously specified by the Merchant during the signing of the Contract, he shall notify the First Party and update his information, which already submitted, when signing this Contract.

Property of Points of sales Devices Affiliated to Saudi Payment Network:

  • The Merchant shall pledge to use points of sales devices affiliated to Saudi Payment Network, which are provided by the First Party to implement points of sales transactions inside the Saudi Payment Network.
  • The Merchant shall pledge to maintain the points of sales devices affiliated to Saudi Payment Network and take all necessary actions to avoid infringement with points of sales devices affiliated to Saudi Payment Network. He also shall pledge to not tamper or allow others to temper with these devices by any form. The Merchant may not renounce the possession and protection of points of sales devices affiliated to Saudi Payment Network including any logo, marketing, or advertising materials, but only in accordance with the terms and conditions of this Agreement or under an official authorization from the First Party thereby.
  • The Merchant shall pledge not to sell points of sales devices affiliated to Saudi Payment Network and provided from the First Party, transfer its ownership, mortgage it, demand fees thereon, dispose it, load it with any burden by any form, abuse any interest therein, allow its sale, transfer its ownership, mortgage it, or assign it for any reason. In case any of the mentioned above has occurred, the Merchant shall be deemed in violation of the terms and conditions of this Agreement and the Merchant shall be liable for the civil and criminal liability in that regard. The First Party will be entitled to bill the device(s) value on the Merchant and impose compensation or suitable penalty due to this action.
  • All programing, codes, and software keys related to points of sales devices affiliated to Saudi Payment network, which have been formatted by the First Party, shall be erased when terminating this Agreement.
  • The points of sales devices affiliated to Saudi Payment Network, shall be granted by the First Party in accordance with the terms and conditions stated in this Agreement with compliance with the stated in the rules of Saudi Payment Network.

Opening an Account at the First Party:

  • The First Party shall open an account for the Merchant (known as the Merchant’s accounts) at the First Party in order to conduct the transaction related to points of sales related to Saudi Payment Network.
  • When the Merchant dedicate an account for points of sales service affiliated to Saudi Payment Network, he shall pledge to comply with the procedures stated in the rules and application of opening an account and retain it.
  • The Merchant shall provide his IBAN, so the amount of transaction conducted via points of sales devices would be transferred. The Merchant shall pledge with the validity of the IBAN, which he has provided and he shall notify Geidea in case a change occurred on this number. Gidea will not be liable for any consequences resulted due to any error in the IBAN provided by the Merchant.
  • The First Party is entitled, without any liability or a limit, to deny all and/or part of the transactions related to the Merchant account at the First Party, if these transactions were suspected, whether these transactions include registration from or in this account. It is known and agreed by and between both Parties of this Agreement that the First Party may be hold liable for any responsibility due its determination or denying any of/or all transactions of the Merchant account, which are related to the transactions of points of sales service.
  • If the First Party’s license was terminated from SAMA or also the membership of the First Party in Saudi Payment Network and it is no longer a concerned bank (a member in Saudi Payment Network). The Merchant will immediately receive a written notification thereby from the First Party in regard of determining and appointing any of the member banks in Saudi Payment Network to work on operating sale point service affiliated to Saudi Payment Network.

Payment Cards that carry the logo of Saudi Payment Network or Approved Transactions on Personal Identification Numbers:

If the card holder has a chip or a card with magnetized chip with password or it can be used via devices provided by the First Party, the terms and conditions of this Agreement shall be applied, during the use of such type of cards.

Obligations on the Merchant:

The Merchant shall:

  • Provide merchandise and/or services to the card holder, who makes the purchase transaction through points of sales service affiliated to Saudi Payment Network and that with cash prices of sale of the Merchant in addition to granting any deductions applied by the Merchant and without imposing any increase in cash prices of sale or receive any commission or insurance from the card holders regarding this transactions, whether by using Saudi Payment Network Cards and/or credit cards or any other payment cards.
  • Not to use points of sales devices affiliated to Saudi Payment Network in any other business and use it only for the direct transactions regarding the Merchant branch as stated in this Agreement.
  • Make sure that the Merchant name, registered employment, or location of his branches are printed in a clear and correct form on points of sales receipt affiliated to Saudi Payment Network.
  • Not to impose a minimum or maximum limit for the value of points of sales service transactions affiliated to Saudi Payment Network on the card holder, who desires to use points of sales service affiliated to Saudi Payment Network.
  • Make sure that the devices and means related to points of sales service affiliated to Saudi Payment Network provided by the First Party or approved by it, will only be used by the Merchant in accordance with the regulations and rules of Saudi Payment Network and any Agreement of dealing with another payment cards.
  • Make sure that points of sales devices affiliated to Saudi Payment Network are used with accuracy, skill, and care and for the purpose for which it was installed. In case wireless devices of points of sales affiliated to Saudi Payment Network, make sure of its charge and place it in a safe place.
  • Taking over the responsibility of monitoring and using the supervisory Merchant card(s) and for the password(s), guarantee the compensation of the First Party, approve its protection and keep it away from any direct or indirect harm, loss, claims, any costs, or expenses incurred by the First Party due to the use of supervisory Merchant card(s) or his password(s).
  • Take responsibility for guaranteeing the use of Saudi Payment Network cards and/or credit cards and any other payment cards to perform transactions of points of sales services affiliated to Saudi Payment Network only.
  • Not to submit any guarantee or making the First Party liable for any responsibility of any kind in regard of commodities and/or services provided from the Merchant at all.
  • Not to conduct any modification or changes on points of sales devices affiliated to Saudi Payment Network, place, or install any accessories, equipment, or devices attached thereto, unless he agrees on otherwise in writing with the First Party.
  • Use the points of sales devices affiliated to Saudi Payment Network only and not to sue and other devices to read other payment cards.
  • Not to charge the card holder (whether it was Saudi Payment Network Card and/or credit cards and any other payment cards) any part of the fees, which the Merchant may be liable for its payment under this Agreement, whether by increasing prices, imposing fees imposed by the First Party or else, or paying any required financing cost related to the used card via points of sales devices affiliated to Saudi Payment Network.
  • Make sure that points of sales devices affiliated to Saudi Payment Network are being operated by the Merchant authorized employees and trained for that.
  • Make sure that the password of points of sales device affiliated to Saudi Payment Network (for example, when using it in refund through points of sales services) is limited to senior personnel, who are appropriately qualified. Whereas, any misuse for the password by the Merchant may cause losses, costs, fees, and damages for the First Party, due the Merchant’s failure to comply with the controls of password and due to that, the Merchant shall bear all damages, compensations, losses, and all consequences, which may be incurred by the First Party due to misuse of the password.
  • Guarantee the monitor of the Merchant’s employees during the performance of points of sales service transactions affiliated to Saudi Payment Network at all times and make sure that they follow the procedures stated in the operation manual.
  • The Merchant will always be liable for the actions of his employees regarding the performance of transactions of points of sales service of the Saudi Payments Network and comply with the instructions of Monetary Agency in terms of matching the identity of the cardholder with the credit card holder.
  • Compensate the First Party for any liability arising from any dispute with the Cardholder in respect of the goods and/ or services that is purchased through transactions of points of sales service of the Saudi Payments Network and done by payment card.
  • Ensure the completion of the balance process of Points of Sales devices of the Saudi Payments Network on a daily basis and adhere to the balance rules as stated by the First Party. The Merchant must notify the First Party immediately upon confirmation (or at the beginning of the following working day) of his inability to perform the balance process and explain the reason.
  • In the event that he does not perform the daily balance, the First Party shall be compensated for all actions, claims, losses, fees, costs and damages that PSF may have or be incurred as a result of the Merchant’s lack of a settlement of the transaction/ concerned bank receipts timely.
  • In the event that he does not perform the settlement on the Points of Sales device/ devices of the Saudi Payments Network for two consecutive days, the First Party shall be entitled to charge a fine for each day of delay.
  • Not to misrepresent the features and/ or basis of operation of Points of Sales devices of the Saudi Payments Network. If any of these devices are malfunctioned, the Merchant’s notification of failure of the device or the appearance of a “cash only” mark, then the First Party authorization must be obtained in advance and he shall not report the SAMA.
  • Not to use any of the Points of Sales transactions of the Saudi Payments Network for obtaining/ providing cash in advance. Unless authorized by the First Party and the transaction is acceptable as a purchase with cashback and any such action will be the reason for the immediate termination of the agreement.
  • Be responsible for the safe storage of all the receipts of Points of Sales transactions of the Saudi Payments Network (temperature not exceeding 25 ° C and maintaining humidity less than 20%) for two years from completion date of the transaction and supplying the required documents (in read form) to the First Party if so requested during this period and it may be not exceed (5) working days after receipt of such request. Otherwise, the transaction amount made in accordance with the Points of Sales service of the Saudi Payments Network shall be deducted from the Merchant. The First Party shall be entitled to withdraw from the account/ accounts of the Merchant for the full transaction amount in this regard.
  • Approve not to enter into any other commercial agreements within the Saudi Payments Network in respect of the Merchant branches mentioned in this Agreement.
  • Ensure that the First Party is aware of any changes (phone numbers, fax, people in charge, etc.) according to the daily transactions within the points of sales service of the Saudi Payments Network and in their premises.
  • Allow the First Party to make changes to the upper limit of the purchases value and to set a limit for the limit value, as dictated by the agreed rules.
  • Know that activation of the property of commodity value recovery or a part thereof, executed through the points of sales devices “Mada”, requires the prior approval of the First Party and the Merchant bank – for the service. And that it is entitled to suspend this feature at any time. In addition, the recovery property shall be used in accordance with the instructions provided by the First Party, and the Merchant shall be aware of the risks associated with using the recovery property (if activated).
  • In case of claims or maintenance requests, the Merchant shall be obliged to open a communication by:
  • Calling 8001288000 and keeping the amounts number to review the status of the request.
  • Sending an email tohelpdesk @ geidea.net
  • Using the Geidea mobile app.

Taking into account the notes below:

  • Make sure that the points of sales device number is correctly introduced at the opening, which has a number of 8 digits.
  • The transaction reports of Saudi Network’s payments and credit cards should be separated when submitted.
  • The Merchant should provide all relevant documents to avoid closing the repprt without processing.
  • A report of the Saudi Payments Network’s transactions must be opened separately, along with a copy of the transaction, in addition to its settlement in the financial claims.
  • Reports of the Saudi network shall be opened within 75 days from the transaction date.
  • Reports of the credit card transactions must be opened separately along with a copy of the transaction just without the reconciliation.
  • Credit card reports must be opened within 7 days of the process date.
  • No objection from the Merchant to deduct the transaction value from the account directly in case of the objection of the cardholder, especially when the Merchant violated a clause of the contract.
  • Specify the type of maintenance required when you open a request.

In respect of Visa and Master Card transactions, the Merchant undertakes to bear the amounts of the objections of the payment cards in all cases in which any of the contract clauses is violated, especially in the following cases:

  • If a report is opened after 3 days from the transaction date.
  • No cardholder’s signature on the voucher.
  • The voucher does not have an authorization number.
  • Manual modification / record of the cardholder data on the voucher.
  • Financial claims for American Express transactions made by the Merchant bank, and American Express Company shall be contacted directly.

Avoiding Credit Card Fraud:
The Merchant must comply with the following instructions and procedures, which will help to complete the transactions safely. The Merchant shall acknowledge that the First Party is not responsible, in any way, for the result of application (or misapplication). The Merchant is committed to the following:
Ensure that the Credit Card is not Forged or stolen, by:
Comparing the name on the card with the name on the ID or any other official document such as national identity, residence or passport, and make sure they match.

  • Compare the image shown in the official document with the cardholder, especially the transactions exceeding 5,000 Saudi Riyals.
  • Not to divide the purchase amount into multiple transactions with a single credit card.
  • The client shall not use credit cards in a random and incorrect way, such as the client’s use of more than one credit card without knowing the available balance.
  • After completing the purchasing transaction on the device, the last four outstanding numbers on the credit card shall be compared with the card number printed on the receipt of the transaction. If the number is different, the card will be irregular, and the Merchant shall be careful to deliver the goods or services sold to the cardholder and communicate immediately with the First Party in this regard.

Responsibilities and Tasks of the Merchant Sales Team to operate the Points of Sales service of the Saudi Payments Network:

  • Unless otherwise agreed, the Merchant shall be the only one to be permitted to use the devices and accessories provided by the First Party.
  • The Merchant shall be the only one to accept or allow the following cards to be passed/ read:
  • Real, non-forged, certified, authenticated, signed and valid.
  • Issued by a bank authorized to issue the cards in their original form.
  • To be presented by the cardholder authorized to use it.

In case the Merchant suspects the identity of the cardholder, it can be verified by the original government source of national identities (for example, asking for the national identity, residence, passport or any personal means of proof for the cardholder) and compare the original name with the name printed on the Plastic Bank Card.

  • The Merchant will be notified via the points of sales service of the Saudi Payments Network (Mada) according to the type of card provided, if the cardholder is required to enter the PIN or sign.
  • When the device asks for a PIN, the cardholder shall verify the transaction by entering the PIN through the points of sales device of the Saudi Payments Network or through the PIN input panel.
  • If the points of sales device ask for a signature, the cardholder shall confirm the transaction by signing his name on the receipt, and the Merchant shall verify that the signature matches the one on the back of the card.
  • For the Merchant only and with the authorization of the First Party, to provide the cash withdrawal service through the purchase transaction and through the First Party, and the Merchant shall abide by the following rules when the implementation of the purchase with cash withdrawal:
  • The client shall produce a payment card belonging to the Saudi Payments Network.
  • The withdrawal request shall be accompanied by a purchase order.
  • The cash withdrawal value shall not exceed the maximum limit of the daily cash withdrawal (in Saudi Riyals) which is agreed between the Merchant and the First Party and amounts to 400 riyals.
  • The cash withdrawal value shall not be less than the minimum daily cash withdrawal agreed between the Merchant and the First Party and amounting to SR 1.
  • All cash withdrawal values ​​described above (available exclusively to payment cardholders of the Saudi Payments Network) is dependent on market conditions and changes and may be subject to change as determined by the Saudi Payments Network.
  • The Merchant shall verify the cardholder’s signature on the transaction receipt and the amount of any cash withdrawal by signing both of the two copies. The First Party shall not bear any financial losses or consequences that may result from the cardholder’s failure to sign the two copies of the receipt in case of cash withdrawal through the purchase transaction, where the Merchant is totally responsible as stated in this clause.
    • Only if the First Party permits the Merchant to submit non-direct transactions, the following rules governing such transactions shall be complied with:
  • The client shall produce a payment card belonging to the Saudi Payments Network and also the PIN.
  • The purchase transaction shall not exceed the limit permitted by the two Parties, the First Party and the Issuing Bank of the card.
    • Although indirect transactions are available, the Merchant shall ensure that all necessary steps are followed to ensure that the points of sales device of the Saudi Payments Network is technically activated by all necessary means of communication to support this service by direct communication transactions.
    • The Merchant shall ensure that, after any transaction has been carried out, it has been approved directly and as required by the Cardholder who has declared to bear full responsibility for the implementation of the transaction.
    • The Merchant shall undertake not to divide the transaction value, under any circumstances at all, into more than one. For example, two transactions worth 500 Saudi Riyals for goods amounting to 1000 Saudi Riyals using the same payment card of the Saudi Payments Network or any other payment card, so that such action is strictly prohibited. The First Party shall be entitled to suspend the device and cancel the Agreement in this case.

The Merchant shall acknowledge that his failure and non-compliance with the above procedures and obligations shall not assign the First Party any liability, legal or otherwise, for any litigation, claims, costs, expenses, damages or losses, including cumulative losses or damages or loss of profits that the First Party may have or be incurred because of the Merchant violate to comply with the instructions and requirements stated. In the event that the First Party is exposed to any of the stated above because of the Merchant’s failure to comply with the stated procedures, the Merchant shall bear all potential litigations, claims, costs, expenses, damages or losses that may be caused to the First Party as a result of the Merchant’s failure to comply with these requirements, conditions and procedures.PCI Compliance

  • The First Party shall provide the Merchant with appropriate training on the rules for the use of the personal identification number device related to the payment card industry, on the criteria of Payment Card Industry Data Protection in respect of the Merchant’s obligations, which is a primary training followed by other training at regular and appropriate times, and when changes occur related to such rules.
  • The First Party shall make sure that the Merchant is continuously informed of any innovation or changes related to the legislation and the obligation rules for the use of the personal identification number device, all related to payment cards or the criteria of Payment Card Industry Data Protection.
  • The Merchant shall abide by the criteria and principles of entering the personal identification numbers of payment cards and also by security criteria of payment card data, and the legislation issued in connection with the establishment and application of the required protection controls.
  • The Merchant shall make sure that the relevant staff (current and new) is informed of their responsibilities with regard to the rules of obligation for entering the personal identification numbers of payment cards and payment card security criteria.
  • The Merchant shall clarify the rules of obligation for entering the personal identification numbers of payment cards as well as payment card security criteria, and to maintain the necessary criteria for passing the periodic test certificate by which to measure a commitment successfully.
  • The Merchant shall notify the First Party immediately after verifying the protection criteria violation, and the Merchant shall also provide all that is necessary to assist the First Party and its competent staff to investigate the evidence and proof required to prove the breach of protection.
  • Under this Agreement, the Merchant shall undertake and is committed to fully protect the First Party and not to assign any liability, legal or otherwise, for any litigation, claims, costs, expenses, damages or losses, including cumulative losses or damages or loss of profits that the First Party may have or be incurred because of the merchant’s failure to comply with the rules of the introduction of secret personal numbers of payment cards or security criteria of payment card data.
  • In addition to the conditions set out in this Agreement, the First Party shall be entitled to terminate this Agreement with the Merchant, in the event that the Merchant shall do the following:
  • Refuse to accept or take any precautionary measures required by his obligations to criteria and principles of entering the personal identification numbers of payment cards or security criteria of payment card data.
  • Failure to maintain and commit to rules, criteria and principles of entering the personal identification numbers of payment cards or security criteria of payment card data and/ or failure to pass commitment tests.
  • The imposition of continuous fines or receipt of alerts and warnings related to fraud regarding any transaction by the Global Payments System through which the First Party may be required to take action against the Merchant due to failure to comply with such rules and criteria or to suspect the amounts of transactions during the settlement process.

    Points of sales service of the Saudi Payments Network transactions must be in Saudi Riyals
  • Points of Sales Service of the Saudi Payments Network Receipt.
    After completing each transaction through the Points of sales service of the Saudi Payment Network, the merchant must deliver the original copy of the receipt of points of sales service of the Saudi Payments Network to the cardholder. The merchant is committed to ensure that all receipts of Points of sales service of the Saudi Payments Network are packed in accordance with the terms of this Agreement in Saudi Riyal.
  • Transaction Completion Failure or Rejection.
    If the transaction is rejected by the First Party, the card issuer, or the merchant objects to it for any reason, the Merchant can agree with the cardholder regarding an alternative payment method. In case the transaction is not accepted by devices of points of sales of the Saudi Payments Network. The Merchant should notify the cardholder of the stated rejection and provide him with a receipt of the transaction. If an adverse transaction (such as withdrawing the amount from the cardholder’s account but the Points of sales service of the Saudi Payments Network receipt states that the transaction was rejected) using the Points of sales service of the Saudi Payments Network, the Merchant is prohibited to give the amount of the transaction back to the client in cash.

    If the Merchant has broken a device or has a failure of the internal motor, due to misuse of the device / devices, the Merchant shall bear all financial expenses resulting from such failures from his own expense. The Merchant shall not be entitled to claim any of these expenses to be paid by the First Party. In the event of loss, damage or breakage of the Point of Sale device / devices, the First Party shall be entitled to deduct the amount of damages from the Merchant account/accounts directly without prior authorization from the Merchant.

  • Protection
    • Under this Agreement, the Merchant undertakes to compensate and protect the First Party from all claims, issues, costs, losses, fees, demands and damages that may be suffered or incurred by the First Party due to:
  • Any fraud, unfair acts or misconduct (criminal or otherwise) by the Merchant, his representative, his employee, his agent or his contractor, in respect of transactions made through the Point of Sale service of the Saudi Payment Network or any other payment cards or any fraud or misconduct (criminal or otherwise) committed by a Third Party as a result of the carelessness or negligence of the Merchant, his representative, his employee, his agent or The first party is satisfied with this. Therefore, the First Party immediately shall be entitled to stop the Service from the point of sale device permanently or temporarily and / or to seize any amount in the Merchant’s account or accounts until checking and counting of potential damage and losses.
  • Any damage to the whole or part of the points of sales devices of the Saudi Payment Network or any related communication equipment due to the omission of the Merchant (as a result of negligence or otherwise) or by his representative, his agent, his employee or his contractor in the operation of any points of sales devices of the Saudi Payment Network according to the procedures described in the operations manuals.
  • The Merchant should comply not to charge the First Party for any legal or other liability for any claims, demands, costs, expenses, damages, losses including cumulative loss or damage or loss of profits that may be suffered or incurred by the Merchant due to failure or malfunction of the device of point of sale of the Saudi Payment Network and / or its ability to connect to the Electronic System for Money Transfer.
  • If the Payback feature is activated on points of sales devices at the Merchant site, the Merchant should undertake to pay full compensation for all procedures, claims, losses, fees and damages incurred by the Host Bank as a result of this feature.
  • Statements and Guarantees:

Both of the First Party and the Second Party state and guarantee to:

  • That it has the necessary authority and full ability to sign this Agreement and to fulfill the obligations contained in this Agreement.
  • That its signature, application and respect of its terms and provisions and shall not conflict with the terms of the Memorandum of Association, its internal regulations or other constituent documents, any agreements or documents of which it is a party or with any law or regulation by any governmental authority or any governmental body subject to it.
  • That it will continue to apply this Agreement for the duration of its validity in accordance with applicable regulations including, but not limited to, those laws and regulations relating to Electronic Systems for Money Transfer.

Notifications:
Notifications shall be exchanged in a proper manner unless otherwise provided in this Agreement or a written Agreement between the Parties if submitted or sent by registered mail or electronically by E-mail, Telex or Fax by one Party to the other at the address below or the last place of business or a registered address of the Receiver. The notification will be considered to have been submitted in a proper manner if delivered by hand on the day of delivery. If it is sent by registered mail, it will be considered to have been submitted the day after it was sent. If sent by e-mail, it will be considered to have been submitted on the same day of sending the e-mail (using notification of confirmation of receipt of the message). If it is sent by Telex (provided that the notification of delivery appears at the top or bottom of the message If it is sent by Fax, it will be considered to have been submitted on the same date as the Fax (provided that there is a receipt of the date of dispatch)

Amendment of the Agreement:
Except as provided in this Agreement, the First Party shall be entitled to make other terms to this Agreement or any guide provided by the First Party to the Merchant to add to this Agreement or any Supplementary Schedule or Additional Terms or Supplement to this Agreement but the First Party gives the Merchant some time to apply.

The law governing this Agreement:
This Agreement is governed and interpreted in accordance with the laws applied in the Kingdom of Saudi Arabia.

Waiver:
This Agreement shall be binding and effective for the benefit of both parties specified therein and their successors in the ownership of their interests and their legal representatives and shall not be interpreted or applied to grant any advantage or benefit to any other person except as provided in this Agreement. The Merchant shall not be entitled to waive any of his rights or benefits provided in this Agreement

Continuity of liability:
Unless otherwise required by the general regulations of the Kingdom of Saudi Arabia, the liability of the Merchant shall be standing and maintained under this Agreement even in the event of any change in the his entity with a change in its system of the entity either by withdrawal, retirement, discharge, death, acceptance of a partner/partners, merger or liquidation. But for companies, when the company dissolves voluntarily or compulsorily, any merger, reorganization or termination of the Merchant’s business and so on

Relationship of the Parties:
Neither Party of this Agreement shall deem the other as a partner or agent. No text in this Agreement may be interpreted as an establishment of a partnership or a credit union but each Party shall remain liable in its individual capacity for its obligations under this Agreement.

Granting Time Limit:
The liability of the Merchant shall not be excluded for any time limit granted to him by or with the approval of the First Party or because of any indulgence by the First Party. This shall not affect the merchant bank’s right to fulfill all of its rights stated in this Agreement.

Force Majeure:
No claims or demands against either Party to this Agreement may be made if it fails to fulfill its obligations or to apply any of the terms and conditions of this Agreement. If such failure or omission is caused by any of the force majeure or circumstances such as events relating to predestination, war, quasi-war, Civil disturbances, vandalism, commercial danger, sabotage, strikes, shortages of materials or workers, delay in delivery by subcontractors, failure of machinery due to force majeure or circumstances or any other event outside the control of the party concerned.

Suspension of Merchant’s Rights:
In the event that the merchant violates any of the terms and conditions of this Agreement, the First Party under this agreement and / or the operation manuals may give the Merchant written notice to revert the violation within a maximum period of one month. During the time limit, the First Party may suspend all Merchant rights stated in this Agreement except those necessary to enable the Merchant to revert his violations. If the Merchant fails to revert his violations during the stated period, the First Party may extend the time limit (with suspension or non-suspension of Merchant’s rights) and / or notify the Merchant of the immediate cancellation of this Agreement.

Cancellation of the Agreement:
This Agreement shall be effective on the date of its signature by both Parties and shall remain effective until the date agreed by the Parties and provided that the Merchant pays the agreed subscription fees. In the event of such condition, the Agreement shall be automatically renewed for further periods of one year unless canceled by either Party under written notice within 90 days.

The First Party, at any time, shall be entitled to give a written notice to the Merchant to cancel this Agreement immediately upon any of the following reasons:

  • If the Merchant violates any of the terms and conditions of this Agreement
  • In the case of a decision to dissolve and liquidate the company and the business of the Merchant
  • If the Merchant does not pay the subscription fee
  • In the case of imposition or issuance of a court order to seize, confiscate, sell or hold any of the Merchant’s property or assets
  • Involvement of the Merchant in any of the money laundering or against the laws of Saudi Arabian Monetary Authority or the Ministry of Commerce.
  • In case of termination of this Agreement for any reason:
  • The Merchant undertakes to give all materials, books, records and all related to point of sales of the Saudi Payments Network transactions and operations back to the First Party. And he may not use the name and sign of the Saudi Payments Network.
  • The Merchant undertakes to allow the First Party to enter the Merchant branch in order to disconnect the devices of the points of sales service of the Saudi Payments Network and / or to restore and remove the devices and any other equipment related to the points of sales service of the Saudi Payment Network, which are not owned by the Merchant, and any material having the name or logo of the Saudi Payment Network on the request of the First Party. The Merchant shall, at his own expense, assist the First Party in the exercise of his rights stated in this Agreement and shall show all cooperation with the Bank in this regard.
  • Merchant Expenses for Point of Sales Services of the Saudi Payments Network:

In case of not collecting the monthly subscription fee from the Merchant, the First Party shall be entitled to restore the device from the Merchant without any prior notice or deduct the required amount unless the Merchant is unwilling to renew within a period not less than 90 days.
